Disclaimer of Offering
Nothing contained in this website should be considered
an offer to sell a security; nor is it a solicitation
of an offer to buy a security. An offer may be made
and is only made, by and through the actual delivery
of a Confidential Private Placement Memorandum (aka “Prospectus”),
and this is NOT a Confidential Private Placement Memorandum.
This is NOT an offering, and is NOT registered under
the Securities Act of 1933 or any state securities
law. Neither the Securities and Exchange Commission
nor the securities commission of any state has passed
upon the accuracy or adequacy of this site's content,
or any prospect, property, or joint venture sponsored
and/or operated by the owners of this site.
The securities laws of the federal government and
of the various states in which any offering hypothetically
may be made each impose their own qualifications for
obtaining an appropriate exemption from their respective
registration requirements and/or for registering an
offering. Although differing in many respects, federal
securities laws and the securities laws of the various
states in which any offering may be effected, generally:
1. require a thorough presentation of the relevant
facts relating to any prospective offering that a prospective
investor would consider material to making an investment
decision; and,
2. require the issuer to ascertain whether any proposed
investment is suitable for the prospective investor
and whether such prospective investor is able to meaningfully
evaluate the proposed investment; and,
3. require the issuer to effect sales of his security
without public solicitation to a limited number of
persons who purchase the security for investment purposes
only and not with a view toward redistribution.
Accordingly, any hypothetical offering may not be
attempted or permitted in some states. In any case,
each prospective purchaser will be required to meet
certain suitability requirements, which may very from
state to state. Any prospective Purchaser who is unable
to meaningfully evaluate such an investment should
not consider such an investment.
Any communication regarding participation in units
of investment in any joint venture sponsored by and/or
operated by Southern Pacific Exploration Company shall
only be made through direct, personal negotiations
by and between a prospective joint venturer and an
authorized representative of Southern Pacific Exploration
Company to insure, among other things, adherence to
the suitability standards required of potential venturers
and to provide potential venturers the opportunity
to seek such explanations and/or additional information
about the joint venture as they may desire. Specifics
concerning a particular Prospect, Producing Property
or Capital Transaction that may be sponsored and/or
operated by Southern Pacific Exploration Company must
be discussed and concluded only at a location other

Risk Factors
Investing, as in life, naturally includes risk. THERE
IS NO SUCH THING AS “NO RISK”.
Participation as a joint venturer involves a high
degree of risk, and only those persons who are able
to bear financial risks referred to in a joint venture
should consider participating in the venture. There
is no public market for the units of investment and
there is illiquidity of the investment and inability
to sell or transfer unit There is no assurance that
the company on this site will receive additional funding
or experience any future development necessary for
corporate success.
Oil and gas exploration and development activities
involve significant risks of losses and liabilities
to third parties. These risks include the speculative
nature of finding hydrocarbons reserves, field operations
hazards, shortages of equipment and materials, competition,
regulation, subsurface conditions and unsuccessful
completion attempts. Revenue from the ventures is speculative
and return of investment is contingent on revenues
from the sales of oil and gas production. Investment
is subject to other risks and conflicts of interest,
more fully described in a specific joint venture's
Confidential Memorandum. Specifics concerning a particular
Prospect, Producing Property or Capital Transaction
that may be sponsored and/or operated by Southern Pacific
Exploration Company must be discussed and concluded
only at a location other than SPXCO.COM.
It is important to note that the evaluation of Oil
and Gas Properties and/or Leases is not an exact science
and inevitably involves a significant degree of uncertainty,
particularly with respect to the quantities of oil
and gas that any given property or prospect is capable
of producing. Estimates of oil and gas reserves may
prove to be incorrect and production from a well or
property may cease for a number of reasons. There can
be no assurance that the Participant's investments
will result in the projected levels of revenue, or
even that levels of production realized will permit
the recovery of amounts invested.
